The debate over how to value pass-through entities (S corporations, LLCs, and partnerships) has raged in the courts and academia for decades. In recent years, landmark court rulings and shifting tax regulations have further complicated the valuation landscape. I will explain the good, the bad, and the ugly offered in important recent court decisions including Kress v. U.S., Estate of Jones, Estate of Michael Jackson, Ryan v. Ryan, and Estate of Cecil. I will also explain how to use the Van Vleet Model (SEAM) to value pass-through entities, and demonstrate how to adjust the model for potential changes in tax laws, such as the scheduled 2026 sunsetting of key attributes of the Tax Cuts and Jobs Act.

Upon webinar completion, the participant will be able to:
- Understand the differences between C corporations and pass-through entities and how those differences impact valuation;
- Use the Van Vleet Model (also known as the SEAM) to value a pass-through entity, in conjunction with the various methods of the income, market, and asset approaches;
- Identify key takeaways from recent federal and state court decisions that address the complex issues involved in valuing pass-through entities; and
- Adjust valuation inputs and modeling to account for potential future changes in tax law.
