*The final exam will be administered and proctored the day after the last class on Friday, August 5th. Exams are no longer provided in a written format and students MUST have a personal laptop or computer device to complete the secure online exam. Course Description

This class will be taught virtually by an instructor over the course of three days with an online exam scheduled on the fourth day. Students will meet virtually online and are required to synchronously participate in a combination of lecture, discussion and classroom exercises via an online platform. The final exam is multiple choice and securely administered online and remotely proctored. Additional final exam instructions are provided closer to the live class. 

BV203 takes the valuation foundations covered in BV201 and BV202 and extends them into advanced topic areas, including those with diversity in their practice. Students will:

  • Learn when and how to use the Asset-Based Approach including the application of built-in tax issues and court cases;
  • Discover how to apply discounts for lack of control, lack of marketability, control premiums and other types of discounts;
  • Study how to appraise FLPs, LLCs and Promissory Notes using case studies; and
  • Discover the best techniques to reconcile values and document findings in a well-written report.

Accessing eMaterials

eMaterials are provided electronically in PDF format and posted to the class within the education dashboard for all registrants to securely access prior to the start of class. Attendees should come to the class prepared with an electronic or printed copy of all eMaterials to use as a refence during class. Bruce A. Johnson specializes in valuation services for gift and estate tax planning, sale transactions, profit sharing plans, C Corporation conversions and shareholder disputes. He also has widespread experience providing consulting services to buyers and sellers involved in mergers and acquisitions including assisting clients throughout the sale process. He has 25+ years of experience in the valuation of businesses in industries such as manufacturing, auto dealerships, hospitality, professional sports, food services, distribution, retail and real estate. In addition to earning a degree in Engineering and MBA from Texas A&M University, Bruce is an Accredited Senior Appraiser (ASA) of the American Society of Appraisers where he serves on the audit tax, marketing and education committees.  He is an instructor and course developer for Partnership Profiles “Valuing Family Limited Partnerships” seminars and was the expert witness for the taxpayer in the Estate of Elsie J. Church and Estate of Emily Klauss. He is an elected member of the ASA Board of Governors and a board member of the Texas A&M University Corporate Finance Program.  He is a co-author of the Comprehensive Guide for the Valuation of Family Limited Partnerships. Bruce and his wife Kathleen have been married for 27 years and they have three college age children. In his spare time, Bruce likes to take his kids fishing and enjoys restoring 1970 era muscle cars. He is a frequent speaker on valuation issues and has been published in over 30 journals on a wide range of business valuation topics including the appraisal of Family Limited Partnerships, Promissory Notes and Discounts for Lack of Control and Lack of Marketability.
