Important: This course has not been accepted by any state real property licensing board nor has it been approved for CE credit for state licensing of real property appraisers. The course offers CE credit which may be used toward fulfilling hours for ASA’s reaccreditation program.

Course Description

This three-day, interactive course provides a high-level overview of general business valuation concepts without regard to the specific standard of value or purpose of the valuation.  The course provides a fundamental understanding of the application of valuation approaches and methods to arrive at an opinion of value through the use of a case study and incorporates individual and group classroom exercises to emphasize other important business valuation concepts. Specifically, the course provides a basic overview of the following topics:

  • The Foundation of Business Valuation;
  • Introduction to Business Valuation;
  • Definitions and Terminology;
  • The Valuation Process;
  • Introduction to the Income Approach;
  • Components of a Financial Statement;
  • Adjusting the Financial Statement;
  • Developing Rates of Return;
  • Financial Forecasting;
  • Introduction to the Market Approach;
  • Introduction to the Asset Approach;
  • Discounts and Premiums; and 
  • Reconciliation of Values.

Instructional methods include lectures, discussions, and individual/ group exercises and assignments. 

Course Audience

This course is most beneficial to those interested in pursuing a career in the business valuation profession, those who are new to the business valuation profession, those who are interested in an introductory study in basic concepts of business valuation, and/or users of appraisal reports who wish to gain a better understanding the valuation process.

Upon completion of this course, students will be able to:

  • Have an understanding of business valuation standards used in the profession.
  • Define the purposes and users of business appraisals. 
  • Learn the definitions of business valuation terms. 
  • Understand the various profitability measurements used in a given business valuation assignment. 
  • Assemble and request the necessary information to perform the business valuation engagement. 
  • Develop discount and capitalization rates and distinguish their use in the two income-based methods. 
  • Prepare normalizing financial adjustments for business valuation purposes. This includes adjusting the income statement and balance sheet. 
  • Apply commonly used models for financial forecasting. 
  • Recognize when to select a method from each of the income, asset or market approaches for a given valuation assignment. 
  • Adjust terms to cash equivalent valuation multiples from the market-based methods. 
  • Understand the application and errors in applying discounts for lack of marketability and control issues. 
  • Complete the course exercise in valuing a dental practice using the information learned over the three-days.

Accessing eMaterials

eMaterials are provided electronically in PDF format and posted to the class within the education dashboard for all registrants to securely access prior to the start of class. Attendees should come to the class prepared with an electronic or printed copy of all eMaterials to use as a refence during class. When opting to print downloadable materials, it is recommended that settings be adjusted to print in black and white (or grayscale) and consider printing double-sided on recycled paper.

KC Conrad is a principal in American Business Appraisers. Since 1994, KC has performed valuation services for variety of businesses and purposes. He has served as an expert witness in litigation matters, has been a key speaker at various local and national venues and had numerous articles published regarding business valuation issues. KC has authored numerous courses relating to business valuation and has been a national course instructor for the Institute of Business Appraisers (IBA), International Society of Business Appraisers (ISBA), National Association of Certified Valuators & Analysts (NACVA) and the American Society of Appraisers (ASA). KC has been serving on ASA’s Business Valuation Education Committee since 2013.
